ExaWizards Forms Business Alliance with CoDMON, Japan’s Largest Childcare ICT Company
〜Completion of Transfer of AI Photo Service tlnk to CoDMON〜

ExaWizards Inc. (Headquarters: Minato-ku, Tokyo; Representative Director and President: Makoto Haruta; hereinafter referred to as “ExaWizards”) is pleased to announce the transfer of all shares of its subsidiary tlnk Inc. (formerly VisionWiz, Headquarters: Minato-ku, Tokyo; Representative Director and President: Kentaro Yamanaka; hereinafter referred to as “tlnk”), to CoDMON Inc. (Headquarters: Minato-ku, Tokyo; Representative Director: Yoshinori Koike; hereinafter referred to as “CoDMON“), and the execution of a basic agreement for a business alliance. The ExaWizards Group has consistently been working to create new value that provides solutions utilizing AI technology. The transfer of shares to CoDMON (the leading company in childcare ICT*) and the business alliance will complement each company’s strengths and will enhance the childcare and education industries through AI.

☑︎Background of the Share Transfer
tlnk was established as a subsidiary of ExaWizards in 2021 to solve social issues in the childcare industry through its AI photo service “tlnk.” The service has been adopted by over 350 facilities in childcare and educational settings and has been implemented in projects by the Ministry of Education, Culture, Sports, Science and Technology, and the Ministry of Economy, Trade and Industry.
CoDMON, the largest player in the childcare ICT industry with over 20,000 facilities, expressed interest in acquiring “tlnk.” After extensive discussion, the decision was made to form a business alliance. For more details, please refer to the disclosure issued on November 20.

☑︎Details of the Business Alliance
ExaWizards will provide resources and knowledge for planning, development, sales, and public relations activities for products and services that use multimodal AI technology and will collaborate with CoDMON to develop new childcare services. Combining CoDMON‘s data with ExaWizards’ AI technology will allow tlnk to create new services in the childcare and parenting sectors and highlight the impact of AI on these industries.
The impact of this matter on the performance for the fiscal year ending March 2025 is expected to be minor.
